Terms of Service
Please read these Terms of Service ("Terms") carefully before accessing or using the IndustrialFlipper Community platform ("Platform"). By creating an account or completing a membership purchase, you agree to be bound by these Terms in full. If you do not agree, do not use this Platform.
1. Definitions
"Platform" means the IndustrialFlipper Community website, tools, content, and services available at IndustrialFlipper.com and any associated subdomains or applications.
"Member" means any individual who has purchased and activated a membership to the Platform.
"Content" means all materials available through the Platform, including but not limited to written materials, AI-generated responses, recorded sessions, deal analysis tools, scorecards, learning collections, and community posts.
"User-Generated Content" or "UGC" means any content posted, submitted, or shared by Members within the Platform's community spaces.
"Services" means all features, tools, and access provided to Members as described on the applicable membership page at time of purchase.
"Operator" means GJ & AM Properties, LLC, owner and operator of the Platform.
2. Eligibility and Account Registration
2.1 You must be at least 18 years of age to access or use the Platform.
2.2 You agree to provide accurate and complete information when creating your account and to keep that information current.
2.3 You are responsible for maintaining the confidentiality of your account credentials. You may not share account access with any other person.
2.4 The Operator reserves the right to deny or revoke access to any individual at its sole discretion.
3. Membership Tiers and Access
3.1 The Platform offers two membership tiers: Founding Member and Annual Member. The specific features, tools, content access, and limits associated with each tier are described on the membership page at the time of purchase and are incorporated herein by reference.
3.2 Founding Member access is a one-time purchase and is limited to a fixed number of available spots. Access continues for as long as the Platform remains in operation.
3.3 Annual Member access is a subscription that auto-renews on the anniversary of the original purchase date unless cancelled prior to renewal in accordance with Section 4 below.
3.4 The Operator reserves the right to modify, add, or remove Platform features at any time. Material changes to tier benefits will be communicated to active Members via email or Platform notification.
4. Billing, Cancellation, and Refunds
4.1 All fees are charged in U.S. dollars and are due at the time of purchase or renewal.
4.2 Founding Member fees are non-refundable. There is no recurring subscription to cancel.
4.3 Annual Member subscriptions auto-renew annually. You may cancel at any time through your account settings. Cancellation takes effect at the end of the then-current billing period; no partial-period refunds will be issued.
4.4 Due to the immediate digital nature of Platform access — including instant access to tools, content, and recorded sessions upon activation — all purchases are final and non-refundable, except where required by applicable law.
4.5 If you believe a charge was made in error, you must contact us at Q4chris@industrialflipper.com within 30 days of the charge date. The Operator will review and respond promptly.
5. Educational Purpose and Disclaimers
5.1 The Platform and all Content are provided for educational and informational purposes only. Nothing on the Platform constitutes legal advice, financial advice, tax advice, investment advice, or a recommendation to purchase, sell, or hold any property or investment.
5.2 The Operator is not a licensed attorney, licensed real estate broker, registered investment advisor, or Certified Public Accountant. All Content reflects personal experience and opinion only.
5.3 The AI-powered Q&A tool available on the Platform generates responses based on documented investing experience and knowledge. These responses are educational in nature and do not constitute professional guidance of any kind.
5.4 Deal reviews, deal analyses, scorecards, and any other assessments provided through the Platform represent personal opinion only. They are not appraisals, feasibility studies, legal opinions, or investment recommendations.
5.5 Any results, deal outcomes, return figures, or case studies described on the Platform represent actual historical results of the Operator. They are shared for illustrative and educational purposes only. Past results do not guarantee or imply similar outcomes for any Member.
5.6 Members are solely responsible for conducting their own due diligence and for consulting licensed attorneys, CPAs, and real estate professionals in their applicable jurisdiction before making any investment or financial decision.
6. Intellectual Property
6.1 All Content on the Platform — including written materials, AI tool outputs, recorded sessions, deal tools, scorecards, and learning collections — is the property of GJ & AM Properties, LLC and is protected under applicable copyright and intellectual property laws.
6.2 Members are granted a limited, personal, non-transferable, non-sublicensable license to access and use Platform Content solely for their own personal and non-commercial educational purposes during the active term of their membership.
6.3 Members may not reproduce, copy, distribute, publicly display, sell, sublicense, or otherwise exploit any Platform Content without the express prior written consent of the Operator.
6.4 Members retain ownership of any original content they post within community spaces. By posting UGC, Members grant the Operator a non-exclusive, royalty-free, perpetual license to display such content within the Platform.
6.5 The IndustrialFlipper name, logo, and all related marks are trademarks of GJ & AM Properties, LLC. Unauthorized use of these marks is prohibited.
7. Member Conduct
7.1 By accessing the Platform, you agree to:
- (a) Treat all Members and Platform staff with respect;
- (b) Not post content that is unlawful, defamatory, harassing, obscene, fraudulent, or otherwise harmful;
- (c) Not solicit other Members for outside products, services, investment opportunities, or competing platforms without prior written approval from the Operator;
- (d) Not share, distribute, or republish Platform Content — including recordings, AI outputs, or deal reviews — outside of the Platform;
- (e) Not use the Platform for any purpose that violates applicable law.
7.2 The Operator reserves the right to remove any UGC and to suspend or terminate any Member's access, without refund, for violation of these conduct standards or these Terms, at its sole discretion.
8. Limitation of Liability
8.1 To the fullest extent permitted by applicable law, the Operator, its owner, employees, contractors, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Platform, including but not limited to any investment losses, financial losses, or reliance on any content, tool output, or deal review provided through the Platform.
8.2 The Platform is provided "as is" without warranty of any kind, express or implied. The Operator does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
8.3 Your sole remedy for dissatisfaction with the Platform or any Content is to discontinue use and cancel your membership in accordance with Section 4.
9. Privacy
The Operator collects and uses Member information in accordance with its Privacy Policy, available at industrialflipper.com/privacy. By using the Platform, you consent to the collection and use of your information as described therein.
10. Modifications to Terms
The Operator reserves the right to update or modify these Terms at any time. Material changes will be communicated to active Members via email or Platform notification prior to taking effect. Continued use of the Platform following notice of a change constitutes acceptance of the revised Terms.
11. Termination
11.1 The Operator may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, at its sole discretion.
11.2 Upon termination, your right to access the Platform and its Content ceases immediately. Sections 5, 6, 7, 9, and 13 survive termination.
12. Governing Law and Disputes
12.1 These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions.
12.2 Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved exclusively in the courts of Racine County, Wisconsin, or through binding arbitration at the election of the Operator.
12.3 You waive any right to participate in a class action lawsuit or class-wide arbitration against the Operator.
